APO Secretary-General and Indonesian Vice Minister of Finance Exchange Ideas on Enhancing Labor Productivity

TOKYO, JAPAN – Media OutReach – 5 December 2022 – Asian Productivity Organization (APO) Secretary-General Dr. Indra Singawinata received Indonesian Vice Minister of Finance Dr. Suahasil Nazara and delegates at the APO Secretariat in Tokyo on 2 December 2022 to exchange ideas on increasing prosperity through labor productivity enhancement in APO members. Vice Minister Suahasil expressed interest in strengthening productivity initiatives through fiscal policy measures.

Singawinata, and Special Adviser to the Minister of Finance Dr. Titik Anas discussing labor productivity enhancement.

“It is high time for Indonesia and other developing countries to reflect productivity performance in their minimum wage formulas, although this could be sensitive,” stated the Vice Minister. He acknowledged that while labor market policy could be used as a tool for the social protection of workers, its impact on the improvement of productivity would require in-depth investigation. Vice Minister Suahasil suggested that, although such a policy might not fit all countries, the APO could study this pressing issue and disseminate the results to its members as part of efforts for more inclusive productivity improvement.

The Vice Minister emphasized that productivity improvement should be considered from a long-term perspective, requiring well-planned, consistent, continuous policy interventions. “The APO is grateful for the sharing of ideas and looking forward to future collaboration on them for the benefit of its members,” responded Secretary-General Dr. Indra in concluding the discussion.

One of APAC’s Largest Operators of Flexible Workspaces, The Flexi Group, To Go Public Through Merger with Tsangs Group’s TG Venture Acquisition Corp

The Flexi Group manages 45 locations in 12 cities and 9 countries in Asia and Australia under regionally-recognized brands the Hive, Common Ground and The Cluster. Combination values The Flexi Group at an implied pro forma enterprise value of $205 million

SINGAPORE – Media OutReach – 5 December 2022 – The Flexi Group Holdings Ltd. (“The Flexi Group“), the largest flexible workspace operator in Asia, and TG Venture Acquisition Corp (Nasdaq: TGVC and
TGVCW) (“TGVC“), a special purpose acquisition company sponsored by Tsangs Group, announced today that they have entered into a definitive business combination agreement that will result in The Flexi Group becoming a publicly traded company upon closing.

The transaction is expected to be completed in the second quarter of 2023, subject to regulatory approvals and other customary closing conditions. After closing, The Flexi Group’s ordinary shares are expected to trade on the Nasdaq Stock Market LLC under ticker symbol FLXG.

Unified in 2022 following a merger of three leading brands, The Flexi Group has a combined 25 years of experience designing, building and operating flexible workspaces in Asia and Australia. They are one of the region’s largest flexible workspace operators with 45 locations in 12 cities and 9 countries including Australia, Singapore, Malaysia, Hong Kong, Thailand, Philippines, Taiwan, Vietnam and Japan.

Unlike other flexible workspace operators, The Flexi Group takes an asset-light approach to its real estate ventures, partnering with landlords on joint ventures instead of leasing office space and taking on potentially significant financial obligations under rental agreements. By partnering with The Flexi Group, landlords can offer increased flexibility to tenants, as well as improve greater building engagement by offering them access to events, agile work solutions and bookable meeting and event spaces.

The Flexi Group’s multi-brand for a multi-demographic approach is unusual in the industry and creates the opportunity to partner with landlords across a variety of asset classes with differentiated pricing, building, location, and office size preferences, thus allowing each brand to grow strategically across the globe.

Following the business combination, The Flexi Group plans to embark on a consolidation strategy across APAC into North America, UAE and Europe.

Transaction Overview

The definitive business combination agreement reflects an implied pro forma enterprise value of $205 million. Marshall & Stevens Transaction Advisory Services LLC rendered an independent fairness opinion as to the fairness of the consideration from a financial point of view.

The transaction, which has been unanimously approved by the Boards of Directors of The Flexi Group and TGVC, is subject to approval by TGVC’s and The Flexi Group’s shareholders. Completion of the transaction is also subject to customary closing conditions, including that TGVC hold net tangible assets of at least $5,000,001 immediately prior to closing, net of redemptions and liabilities (including TGVC’s transaction expenses).

Additional information about the proposed transaction, including a copy of the business combination agreement, will be available in a Current Report on Form 8-K to be filed by TGVC with the U.S. Securities and Exchange Commission (the “SEC”) and at www.sec.gov.

Webcast and Presentation Information

TGVC, along with the management of The Flexi Group, plans to hold a webcast to discuss The Flexi Group business model and opportunity after the filing of the related Registration Statement on Form F-4, which is expected to occur in early 2023. The webcast, detailed investor presentation, and all other materials presented during the webcast will be available on TGVC’s website at https://tgventureacquisition.com. Additionally, TGVC will file the investor presentation with the SEC as an exhibit to a Current Report on Form 8-K, which will be available on the SEC’s website at www.sec.gov.

Kodecoon Academy and SCOGA organising Singapore’s first esports training camp and competition for 9 years old children

SINGAPORE Media OutReach – 5 December 2022 – Kodecoon Academy, a local coding and programming school is organising a gaming competition to expose the next generation to the world of esports. The Kodecoon Cup, a 5-day esports training camp in preparation for a gaming competition in December is the first of its kind in Singapore. This competition is held together with Singapore Cybersports and Online Gaming Association (SCOGA) – one of the pioneers in the esports industry and has helped multiple schools build an esports curriculum.

With 7 years of teaching experience, Kodecoon realised that students love creating and playing games on Roblox. Building on this interest that students have, Kodecoon becomes one of the official education partners of Roblox.

Gaming when brought to an extreme can be bad, but Kodecoon aims to develop determination, discipline and teamwork through gaming. And this is what the Kodecoon Cup is all about – to develop positive traits in children through a gaming competition.

Deddy Setiadi, the Director of Kodecoon Academy has realised that it is challenging to nurture these traits amongst students through traditional camps or bonding activities. In fact, it is easier to gain a child’s attention and build their character by leveraging on the activities they love.

Hence, Kodecoon Academy together with SCOGA introduced this 5 day training camp to expose children from as young as 9 years old to the esports industry and experience what it is like to be an esports athlete. More than just playing, the children will experience critical thinking, teamwork, communication, discipline and leadership. Students will then come together on 30th December 2022 for a gaming competition.

This is Singapore’s first gaming competition for young children but Kodecoon Academy and SCOGA are not stopping there. They want to change the traditional view that parents have of esports and believe there is a lot to be learnt from this growing industry. Hence, they will be partnering up to offer enrichment lessons on esports to further prepare children for this industry while also teaching them coding, critical thinking and leadership.
